Default Upgrade to MS Word 2000 OEM

I have Office 97 and Windows XP.

I've just bought the Word 2000 + Works OEM package in order to get a Word
upgrade.

If I install the Word CD, will it simply overwrite the Word 97 bits and
pieces of Office 97?

Uninstall 97 first, then install 2000.
